Pranav Bhaskar is a partner and head of corporate practice at SKV Law Offices. He has had more than 17 years of experience advising Indian and foreign corporates on M&A as well as structuring their operations across India and other foreign jurisdictions. He has advised and structured investments and operations of corporates across various jurisdictions, including India, South Africa, Bhutan, Cambodia, Thailand, UK as well as several other countries.
He has lead several complex M&A in the power sector, including advising on the first major direct investment by an Indian corporate in the hydro power sector in Bhutan. He was awarded ‘Deal of the Year 2023’ by the Indian Business Law Journal for advising Tata Power on their group captive project with Tata Steel, which was at the time the largest renewable group captive power project in India.

EXPERIENCE STATEMENT:
- Represented NTPC Limited to enter into joint venture agreement with Rajya Vidyut Utpadan Nigam Limited to form a 50/50 partnership to own, operate and expand the Chhabra Thermal Power Plant.
- Represented Tata Power Company Limited (TPCL) in acquisition of 40% equity in the Khorlochhu Hydro Power Limited, forming a public-private partnership between TPCL and Druk Green Power Corporation Limited for the development of a 600 MW Hydro project in Bhutan.
- Represented The Tata Power Renewable Energy Limited in its deal with Tata Steel Limited for the setting up of a solar-wind hybrid renewable power facility with a capacity of 966 MW, which is the largest industrial power project in the group captive sector within India.
- Represented the Sunflame Enterprises Limited in the acquisition of Sunflame Enterprises by V-Guard Industries Limited for a value of Rs. 660 Crores.
- Advised CE Info Systems Limited in acquisition of a 26% stake in Kogo Tech Labs Private Limited.
- Advised on and executed the acquisition of 60% ownership stake in Throttle Aerospace Systems Private Limited by Neosky India Limited, the wholly owned subsidiary of Rattan India Enterprises Limited.
- Advised and drafted bid-related documents for NTPC REL in relation to its RfP for connected energy storage solutions of 3000MWH with 500MW (minimum capacity), currently one of the largest energy storage projects in the world.
- Advised the Vedanta group on its investment in 600 MW of renewable captive power projects.
- Advised the Naveen Jindal Group on its investment in Treis Solutions LLP (Fuelbuddy), which was part of a USD 20 million funding series – A funding round for the app-based fuel delivery start-up.
- Currently advising and drafting all documents for a listed entity in relation to its captive 500 Mega-Watt renewable power project.
- Executed a family trust structure for the management of individual assets as well as management of companies related to the promoter family of a prominent listed company.
- Advised and drafted transaction documents related to a 150 MW captive thermal powerplant by Nav Bharat Projects Limited
- Advised several listed and private entities in relation to the setting up of their captive power projects.
- Advised on and led negotiations between the promoter families of a listed Indian Company.
- Structured and advised on the setting up of a JV of a large Indian IT company in the US.
- Advised and mediated on shareholder dispute between the promoters of one of the largest manufacturing companies in India (in term of number of employees).
- Advising and structuring a UK Based PE Fund in its investments in India as well as in the UK.
- Currently overseeing a shareholder dispute between a prominent IT Company in India.
- Advised and mediated on a shareholder dispute between a prominent German manufacturing company and its Indian JV Partner.
- Oversaw a shareholder dispute between an Indian company and its partner in the US.
- Structured and oversaw the acquisition of a plantation company in Cambodia by an Indian Company.
- Structured and oversaw the setting up of a JV for a development in a major tech park.
- Led the setting up of a Joint Venture between a leading British cereal company and an Indian cereal company.
- Structured and advised on the acquisition of a five-star hotel in the United Kingdom by an Indian company.
- Structure and advise upon the operations of a large Indian IT Services company across various jurisdictions, including Australia, Singapore, UK, USA and South Africa.
- Advised upon the exit of an Indian company from its investments in real estate companies in France.
- Represented a large US real estate company in its negotiations with an Indian real estate company for the setting up of a joint venture into providing development management services in India.
- Was involved in structuring a foreign venture fund’s investment in primary education in India.
- Advised the Prayagraj Power Generation Company Ltd. on implementation of Energy Storage Service Agreement for charging and discharging of energy.
- Advised Tata Power on structuring it’s pumped storage system in Maharashtra.
- Advised the Tata Power Company Limited on it’s acquisition of Bikaner III Neemarana II Transmission.
- Conducted a thorough legal and regulatory due diligence of the Jalpura Khurja Power Transmission Limited (JKPTL) and represented TPCL in executing definitive agreements for the acquisition of JKPTL, an SPV dedicated to the transmission project.
- Represented the Tata Power Company Limited on it’s acquisition of Paradeep Transmission Limited.
- Advised the Prayagraj Power Generation Company Ltd. on utilisation of extra portions of land at the Project Site for construction of ancillary activities such as Cement Grinding Unit for effective ash disposal and subsequent monetisation of the vacant land.
- Advising Tata Power Company Limited (Generation) to tackle with the regulatory challenges on the issue pertaining to disposal of vestigial land and its treatment under the regulatory accounts.
- Advised and representing South East Uttar Pradesh Power Transmission Company Limited for filing of petitions under Section 17 of the Electricity Act, 2003 for seeking approval of UPERC for change in shareholding of SEUPPTCL and for creation of charge over assets of the transmission project.
- Advised the SEUPPTCL for negotiating the terms of Transmission Service Agreement and drafted the Supplementary Transmission Service Agreement with Uttar Pradesh DISCOMs for deciding on the transmission assets to be commissioned by SEUPPTCL.
- Represented NTPC in the acquisition of a power plant owned and operated by Jhabua Power Limited in Madhya Pradesh through a corporate insolvency resolution process.
- Advised NTPC as a resolution applicant before the committee of creditors, where SKV was responsible for preparation and filing of a resolution plan.
